FORT WORTH, TEXAS, USA, April 14, 2023/ -- Black Mountain Acquisition Corp. (the “Company”) (NYSE: BMAC, BMAC.U, BMAC WS) announced today that its stockholders approved an extension of the date by which it has to consummate its initial business combination, allowing the Company to extend such date from April 18, 2023 to June 18, 2023 (the “Initial Extension” and such date, the “New Termination Date”). Additionally, the Company’s board of directors, without another stockholder vote, is allowed to further extend the New Termination Date up to six times for an additional one month each time (each, an “Extension Period”), or up to December 18, 2023, by depositing $160,000 for each Extension Period into the Company’s trust account for its public stockholders (the “Trust Account”).

In connection with the Initial Extension, Black Mountain Sponsor LLC has deposited into the Trust Account $320,000. If the Company consummates an initial business combination, it will repay the loan out of the proceeds of the Trust Account or, at the option of the Sponsor, convert all or a portion of such loan into warrants for $1.00 per warrant, which warrants will be identical to the warrants issued by the Company in a private placement in connection with the Company’s initial public offering. If the Company does not consummate an initial business combination, it will repay the loans only from funds held outside the Trust Account.
